under the trademark UNION MARINA

This document constitutes an official offer (public offer) of UNION PHU QUOC COMPANY LIMITED (abbreviated as UNION PQ CO., LTD, trademark "UNION MARINA"), addressed to an unlimited number of natural and legal persons, to conclude a contract for the paid provision of tourist and entertainment services (sea excursions, cruises, boat rentals and related services) under the terms set out below, in accordance with the procedure and conditions of Article 407 of the Civil Code of the Socialist Republic of Vietnam (public offer) and the Law of Vietnam "On Protection of Consumer Rights".
Full and unconditional acceptance of the terms of this Offer (acceptance) is carried out by the Customer performing any of the following actions: submitting a booking request through the official website unionmarina.vn, by phone, through messengers (WhatsApp, Telegram, Zalo, KakaoTalk) or by another available means of communication specified on the Website, as well as by making a prepayment (deposit) for the selected program. Acceptance of the Offer means that the Customer fully and unconditionally agrees with all its terms and is considered as the conclusion of a service agreement in simple written form (Clause 3, Article 400 of the Civil Code of Vietnam).
1. Terms and Definitions
— "Contractor" — CÔNG TY TNHH UNION PHÚ QUỐC (UNION PHU QUOC COMPANY LIMITED), operating under the trademark UNION MARINA, whose details are specified in Section 13 of this Offer.
— "Website" — the Contractor's official website located at https://unionmarina.vn (and its language versions).
— "Customer" ("Guest") — a natural or legal person who has accepted this Offer in the manner provided for in Section 4.
— "Services" — sea excursions, cruises, boat rentals, VIP fishing and other programs posted on the Website, as well as additional services (transfer, on-board entertainment, etc.).
— "Program" — a specific type of service (day catamaran cruise, sunset cruise, private charter, individual Yamaha FC-27 boat rental, VIP fishing) selected by the Customer when booking.
— "Booking" ("Request") — an order placed by the Customer for a specific Program for a certain date, time and number of guests.
— "Voucher" ("Booking Confirmation") — a document (electronic message) sent by the Contractor to the Customer after receiving prepayment, confirming the fact of booking.
2. Subject of the Offer
2.1. The Contractor undertakes, on a paid basis, to provide the Customer with Services in the scope and on the terms of the selected Program, and the Customer undertakes to accept and pay for such Services in the manner, amount and terms established by this Offer.
2.2. The list of current Programs, their duration, route, capacity and estimated cost are published on the Website and are set out in Appendix No. 1 to this Offer (Section 6). The Contractor has the right to unilaterally change the composition, schedule and cost of Programs; current information on this is posted on the Website prior to booking; changes in price do not apply to already paid and confirmed bookings.
2.3. Place of service provision — the Union Marina's own pier and the adjacent waters of Phu Quoc Island (Đặc khu Phú Quốc, Việt Nam), as well as routes determined by the selected Program.
3. Booking Procedure
3.1. To book a Program, the Customer sends a request to the Contractor through the form on the Website (specifying the program, date, number of guests, name and phone number), by phone +84 977 01 85 01, by email info@unionmarina.vn, or through messengers specified on the Website.
3.2. After receiving the request, the Contractor confirms the availability of places for the selected date and sends the Customer the payment details and amount due.
3.3. A booking is considered confirmed only after receipt of a prepayment (deposit) in the amount determined by the Contractor (usually 30–100% of the Program cost) and sending the Customer a Voucher.
3.4. By filling in the form on the Website and clicking the "Submit Request" / "Book Now" button, the Customer confirms that they have read and agree with the Privacy Policy and the personal data processing procedure posted on the Website.
4. Contract Conclusion Procedure (Acceptance of the Offer)
4.1. The Offer is considered accepted by the Customer from the moment of the occurrence of the first of the following events: (a) making a prepayment for the selected Program; or (b) the Customer receiving a Voucher from the Contractor confirming the booking.
4.2. From the moment of acceptance, this Offer acquires the force of a contract concluded between the Contractor and the Customer and is binding on both parties.
4.3. The contract is considered fully performed by the Contractor after the actual provision of Services in accordance with the selected Program.
5. Cost of Services and Payment Procedure
5.1. The cost of each Program is indicated on the Website in Vietnamese dong (₫) and US dollars ($ — for reference, for convenience; payment, unless otherwise agreed by the parties, is made in dong at the rate specified by the Contractor on the date of payment).
5.2. The estimated prices for Programs in effect as of the date of publication of this Offer are given in the table below (Appendix No. 1). The current cost as of the booking date is always indicated on the Website and/or confirmed by the Contractor when processing the request.
5.3. Payment is made by bank transfer to the Contractor's account, through payment services specified on the Website, or in cash in the manner agreed by the parties. The obligation to pay is considered fulfilled from the moment the funds are credited to (received by) the Contractor's account.
5.4. The cost of the Program (unless otherwise specified separately) includes: use of the vessel/boat according to the selected Program, crew, fuel, basic snorkeling equipment (where provided for by the selected Program), food/drinks in the amount stated in the description of the specific Program on the Website, as well as "hotel — pier — hotel" transfer within the zone serviced by the Contractor at no additional charge.
6. Transfer. Additional Transfer Fee for the North Island Area
6.1. Standard transfer (picking up the guest at their place of residence and returning them after the end of the program) is included in the cost of the Program and is provided within the service zones determined by the Contractor.
6.2. For guests residing in the North Island area, an additional transfer fee of 250,000 (two hundred fifty thousand) dong per person is provided. This amount covers both picking up the guest at their place of residence and return delivery at the end of the program, in accordance with the schedule of the relevant tour.
6.3. The additional transfer fee under Clause 6.2 is paid by the Customer simultaneously with payment for the cost of the selected Program or immediately before the start of the transfer, unless otherwise agreed with the Contractor.
6.4. The Contractor has the right to determine and change the list of areas requiring additional transfer payment, as well as the amount of such payment, with mandatory communication of current information to the Customer at the booking stage, before making a prepayment.
6.5. The time of transport arrival for transfer is agreed by the Contractor with the Customer in advance and communicated to the Customer in the Voucher or by other means of communication.
7. Appendix No. 1. List of Programs and Estimated Cost
* The specified cost is for reference as of the date of publication of this Offer and is subject to clarification on the website unionmarina.vn and/or when processing a booking. The cost of additional on-board entertainment (tubing, jet ski, mini triamaran cruise, access to the 3rd VIP deck, etc.) is paid separately according to the Contractor's current rates. The additional transfer fee for the North Island area (Clause 6.2 of this Offer) is not included in the specified cost.
 
8. Rights and Obligations of the Parties
8.1. The Contractor is obliged to:
— provide the Services in accordance with the selected and confirmed Program, on the agreed date and time;
— ensure the safety of the Customer on board the vessel/boat, the availability of life-saving equipment and safety briefing before the start of the Program;
— promptly inform the Customer of changes to the schedule, cancellation or postponement of the Program for objective reasons (including weather conditions);
— ensure the confidentiality of the Customer's personal data in accordance with the Privacy Policy posted on the Website.
8.2. The Contractor has the right to:
— unilaterally postpone or cancel the Program for meteorological, technical or other reasons threatening the safety of guests, offering the Customer an alternative date or a refund of the amounts paid for the unfulfilled part of the Services;
— refuse boarding to persons in a state of alcoholic or drug intoxication, as well as persons whose behavior creates a threat to the safety of other guests and crew, without refunding the cost of the Services;
— establish additional conditions and restrictions (including age and medical) for individual Programs (in particular, VIP fishing, boat rental).
8.3. The Customer is obliged to:
— pay the cost of the selected Program in a timely and complete manner and, if necessary, the additional transfer fee in accordance with Section 6;
— provide accurate data when booking (full name, contact phone number, number of guests, place of residence);
— arrive at the place where the Services begin (or at the transfer pickup point) at the agreed time;
— comply with safety rules, crew instructions and this Offer; be responsible for damage caused through their fault to the Contractor's property or third parties.
8.4. The Customer has the right to:
— receive complete and accurate information about the content and cost of the Program prior to booking;
— cancel the Program or reschedule it to another date in accordance with the procedure provided for in Section 9 of this Offer.
9. Cancellation, Rescheduling of Booking and Refunds
9.1. The Customer has the right to cancel a booking or reschedule it to another date by notifying the Contractor in the manner used for booking (phone, messenger, email).
9.2. The conditions and terms for refunding the prepayment (in full, partially or without refund) depend on the notice period before the start date of the Program and are communicated to the Customer at the time of booking; in the absence of other agreements, the following estimated conditions apply: for cancellation more than 48 hours before the start of the Program — full refund of the prepayment; for cancellation less than 48 hours before — the prepayment is not refunded, except in cases of cancellation of the Program at the initiative of the Contractor.
9.3. In the event of cancellation or postponement of the Program at the initiative of the Contractor (including due to weather conditions, technical reasons), the Customer is given the right to choose: rescheduling to another date or a full refund of the amounts paid.
9.4. Refunds are made in the same way as the payment was made, unless the parties agree otherwise, within a reasonable period not exceeding 14 (fourteen) calendar days from the date the refund is agreed.
10. Liability of the Parties
10.1. For failure to fulfill or improper fulfillment of obligations under this Offer, the parties are liable in accordance with the current legislation of the Socialist Republic of Vietnam.
10.2. The Contractor is not liable for failure to fulfill obligations caused by force majeure circumstances (storm, typhoon, decisions of government authorities restricting navigation, and other events specified in Section 11), as well as for damage arising from the Customer's failure to comply with crew instructions and safety rules.
10.3. The Contractor is not liable for the loss or damage of the Customer's personal belongings left unattended on board the vessel/boat or in the transfer waiting area.
10.4. The total liability of the Contractor to the Customer under this Offer is limited to the amount actually paid by the Customer for the relevant Program.
11. Force Majeure
11.1. The parties are released from liability for partial or complete failure to fulfill obligations under this Offer if it was caused by force majeure circumstances: natural disasters, storm warnings, typhoons, actions of government authorities, accidents, pandemics and other circumstances beyond the reasonable control of the parties.
11.2. Upon the occurrence of such circumstances, the deadline for fulfilling obligations is postponed in proportion to the duration of their effect; if the Program cannot be provided and rescheduled, the provisions of Section 9 of this Offer apply.
12. Personal Data
12.1. By making a booking, the Customer gives consent to the processing of their personal data (full name, contact phone number, place of residence, other data provided when booking) for the purposes of fulfilling this Offer, in the manner and on the terms set out in the Privacy Policy and the "Personal Data Processing" section posted on the Website.
